Welcome to CS Media & Production ("we," "us," "our," or the "Company"). These Terms & Conditions ("Terms") govern your access to and use of the website csmediaandproduction.in and all services provided by CS Media & Production, a sole-proprietorship business owned and operated by Chirag Malhotra, with its registered place of business at 705, 7th Floor, Amis Planet Mercury, Sector 9, Plot No. 163, Ulwe, Navi Mumbai – 410206, Maharashtra, India.

By accessing this website, engaging our services, or making a payment to us, you ("Client," "you," or "your") agree to be bound by these Terms.

1. Services Offered

CS Media & Production provides AI-powered content creation, video production, social media management, AI avatar and voice cloning, studio shoots, motion graphics, website and CRM development, and related digital marketing services as described on our website.

2. Engagement and Scope of Work

Each engagement is governed by a written proposal, statement of work, or invoice ("SOW") agreed upon between the Company and the Client. The SOW will specify deliverables, timelines, fees, revision rounds, and any other project-specific terms. In the event of a conflict between the SOW and these Terms, the SOW shall prevail.

3. Fees and Payment

• All fees are quoted in Indian Rupees (INR) unless otherwise agreed in writing. International clients may pay via foreign currency through our authorised payment gateway; currency conversion is handled by the gateway.
• Unless stated otherwise in the SOW, 50% of the fee is payable upfront before work commences, and the balance is payable upon delivery.
• Payment is accepted via Razorpay (cards, UPI, netbanking, international cards), direct bank transfer, or any other method specified on the invoice.
• All applicable taxes (including GST, where applicable) are additional and will be charged on the invoice.
• Late payments beyond 15 days of the invoice due date may attract interest at 1.5% per month and may result in suspension of services.

4. Client Responsibilities

You agree to:

• Provide accurate brief, brand assets, scripts, approvals, and any other inputs required for delivery in a timely manner.
• Obtain all necessary rights, licenses, and permissions for any third-party material (logos, music, footage, talent) you provide to us.
• Respond to revision requests, approvals, and clarifications within reasonable timelines as specified in the SOW.

Delays caused by the Client may extend project timelines proportionally and do not entitle the Client to a refund.

5. Intellectual Property

• Upon full payment of all fees, the Client shall own the final deliverables produced under the SOW for the purpose specified in the SOW.
• The Company retains ownership of all underlying tools, templates, AI prompts, working files, raw footage, source code libraries, and pre-existing IP used to create the deliverables.
• The Company reserves the right to display non-confidential portions of the final deliverables in its portfolio, on social media, and in marketing materials, unless the Client opts out in writing.

6. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement. This obligation survives termination of the engagement.

7. Limitation of Liability

To the maximum extent permitted by law, the Company's total liability for any claim arising out of or in connection with the services shall not exceed the fees actually paid by the Client for the specific deliverable giving rise to the claim. The Company shall not be liable for any indirect, incidental, consequential, or loss-of-profit damages.

8. Indemnification

The Client agrees to indemnify and hold harmless CS Media & Production from any claim arising out of (a) content, materials, or instructions provided by the Client, (b) the Client's use of the deliverables in violation of third-party rights or law, or (c) breach of these Terms by the Client.

9. Termination

Either party may terminate an engagement by giving 7 days' written notice. Upon termination, the Client shall pay for all work completed up to the date of termination. Refunds, if any, are governed by our Refund & Cancellation Policy.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts at Navi Mumbai, Maharashtra.

11. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.
